Terms and Conditions
General Conditions of Sales
These general conditions, subject to modifications or waivers agreed in writing, govern all sales contracts between Archnit International and the Purchaser. Variations in the general conditions of sale, offers, credits or allowances agreed by our agents or other intermediaries, are not valid unless accepted in writing by our head office.
This writing constitutes an offer by Archnit International (“Seller”) to sell the product(s) and/or services described herein (the “Products”) in accordance with these terms and conditions (“T&Cs”). It is not an acceptance of any offer made by buyer (“Buyer”). Acceptance by Seller of Buyer’s order is expressly made conditioned on assent to these T&Cs, either by written acknowledgment or by conduct of Buyer that recognizes the existence of a contract (“Contract”) with respect to the Products described on Seller’s written acknowledgement. No additional or different terms of conditions will be binding upon Seller unless specifically agreed to in writing; failure of Seller to object to provisions contained in any purchase order or other communication from a Buyer shall not be construed as a waiver of these T&Cs nor an acceptance of any of such provisions. Terms and conditions on the Invoice for these products take precedence over this document. Unless otherwise specified on the face hereof, this offer is subject to written acceptance of Buyer’s order by Seller at its principal place of business in Rajkot, Gujarat, within thirty (30) days. These T&Cs also serve as notice of Seller’s objection to and rejection of any terms and conditions of purchase or sale included in Buyer’s purchase order or other writing that are different from or additional to these T&Cs. Article headings herein are for convenience only and are not to be considered in interpreting any of the provisions herein.
Subject of the Supply:
The supply includes only the materials, services and quantities specified in our order confirmation. The text of the Archnit International order confirmation shall prevail in any case over any differing text of the offer or order.
Delivery and Risk of Loss and License.
Delivery of Products to a common carrier at Seller’s principal place of business or at any other loading point, if so agreed to by the parties in writing, shall constitute delivery to Buyer (“Delivery”), and regardless of shipping terms or freight payment, all risk of loss or damage in transit shall upon Delivery, shift to Buyer.
Buyer shall provide to Seller written, detailed shipping instructions within a reasonable time prior Delivery. Buyer will be responsible for any increased costs or delays in Delivery resulting from Buyer’s failure to supply such instructions in a timely manner. Buyer may not withhold payment in the event of delay caused by Buyer.
Delivery dates specified are approximate and are subject to revision at any time. Seller will use its commercially reasonable efforts to meet the approximate delivery date(s) provided that Buyer supplies all necessary information, but Seller shall not be held responsible for failure to do so, and shall not be liable for any damage or loss of whatever kind arising directly or indirectly out of any delay in such delivery. If Buyer is responsible for any shipment delay, Seller’s written notification to Buyer that Products ordered hereunder are ready for shipping shall constitute Delivery to Buyer, and all further risk of loss or damage as well as all costs for handling, transportation and storage shall be borne by Buyer. 4. Seller shall not be liable for any damages as a result of any delay or failure to deliver due to any cause beyond Seller’s reasonable control, including without limitation, any act of God, act or failure to act of Buyer, embargo or other governmental act, regulation or request, fire, accident, strike, slowdown, war, riot, act of terrorism, weather, delay in transportation or inability to obtain necessary labor, materials or manufacturing facilities. It is Buyer’s sole responsibility to pay for and to obtain any governmental or other licenses, certificates or documentation as may be required. 5. Seller is responsible for proper loading/packing of the product and will carry proper insurance to ensure that the Buyer receives the product in satisfactory condition.
If, in the Archnit International order confirmation, there are differences in the individual elements comprising it, compared with the agreements or the orders, the Purchaser is understood to have accepted our confirmation as it was drawn up, unless an objection to it is made in writing within 7 days of receipt of it.
The customer undertakes to notify Archnit International of the place of destination of the goods, if different from the address quoted on the order confirmation. In the case of any variation in the place of destination, the identification data of the destination address for the goods and the place where delivery is to be made must be sent by post, fax or email, before the day laid down for collection at Archnit International’s premises.
If no notification is received, the destination originally shown shall be understood as tacitly confirmed.
The prices shown in the Archnit International price-lists or quotations are not binding: we therefore reserve the right to modify them before acceptance of the order.
The prices agreed upon for each individual sale are understood as net, for cash and for delivery ex-works, subject to any different written stipulation. If there should be increases in costs of raw materials, labour, fuel, production or transport costs, taxes, etc. between the order date (even after the order confirmation) and the delivery date, Archnit International may increase the agreed price, giving written notification to the Purchaser also by fax or email. However, if this price should exceed the price agreed at the time of order by 20%, the Purchaser may withdraw from the contract by notifying us by registered letter of his desire to do so within the deadline of 10 days from receipt of the notice of price increase. If he fails to do so, the price shall be understood as accepted.
Any figures, measurements, statements, descriptions, illustrations, photographs, drawings, or any other matters contained in the Seller’s brochures, catalogues, price lists, or advertising literature, or any samples provided to Buyer by Seller are not guaranteed to be accurate and are intended merely to represent a general description or depiction of the Products and shall not form part of any contract or agreement between the Seller and the Buyer, unless expressly specified and incorporated into any contract or agreement between the Parties in writing.
Seller reserves the right to revise and discontinue Products at any time and without prior notice. Seller will ship Products that have the same or similar functionality and performance of the Products ordered, but changes, including but not limited to changes with regard to color, measurements and weight, due to technical requirements between what is shipped and what is described in specification sheets, catalogues, brochures or the like, are possible and shall not constitute a defect in the Product or non-compliance on the part of the Seller.
In order to best harmonize color and texture variations Buyers are encouraged to order correct and sufficient quantities in a single order to avoid receiving different shades or textures of Products, when placing separate orders. Seller cannot guarantee that shade and texture of Products will match for orders placed separately. Shade and texture variations in tiles are typical due to production processes.
Seller will not be responsible for any and all installations of the Products. 5. Any orders of custom colors will require an overrun of ten percent (10%). This overrun is necessary to allow full compliance with the quantity ordered by the customer. This overrun shall be included in the overall cost of the tile order. This charge will be reflected on the invoice as a custom color surcharge.
The sale is always ex-works at the Archnit International premises.
The goods travel at the Purchaser’s risk and our liability ends with delivery to the carrier, to whom the Purchaser after performing suitable checks must make any claims that may arise.
Shipments by sea or land concerning supplies carried out abroad are performed according to conditions chosen on a time-by-time basis, shown in the “Incoterms” approved by the International Chamber of Commerce.
Delivery times are by way of indication only: any delays in delivery and interruptions and total or partial suspensions of supplies shall not give rise to an entitlement to refunds or claims for compensation unless otherwise agreed in writing.
The data shown in the Archnit International illustrative documents, as well as the characteristics of samples and models sent by Archnit International to the Purchaser, is of an approximately indicative nature. This data has no binding value except to the extent to which they were expressly mentioned as such in Archnit International’s offer or written acceptance.
Archnit International’s invoices are issued on the day of supply and must be paid net on the agreed expiry date.
Each and every obligation for payment between the contracting parties must be performed at Archnit International’s head office.
Any payments made to agents, sales representatives or assistants of Archnit International are not considered to have been carried out until the relative sums have reached Archnit International.
Payment must be carried out, subject to any other written agreement, at the same time as the delivery, to the bank indicated by Archnit International.
Any delay or irregularity in payment gives Archnit International the right to suspend supplies or to terminate current contracts, even if they do not relate to the payments in question, as well as the right to claim any damages. Archnit International is in any case entitled – starting from the payment expiry date, and without the need for notice of default – to the interest on arrears to the extent provided for by Indian Law. In the case of non-fulfilment, even only partial, the interest on arrears for the unpaid amount shall start from the day of delivery even if the payment term was agreed on as a later date.
No objection or dispute referring to the quality of the goods or to flaws or defects or to any other aspect of the contract shall be valid and can be taken into consideration; in addition, no action may be started up until after payment has been made of the entire amount of the price.
Compensation to Archnit International, with any credits, however they may have arisen, is not permitted.
Unless otherwise specified on the face hereof, the terms of payment of the total price, plus any additions for the Products ordered hereunder shall be paid in advance (at time of order placement). Overdue amounts shall bear a delinquency charge of interest at eighteen percent (24%) per annum or the maximum rate permitted by law. Buyer shall have no right of set-off with alleged counterclaims. Any assignments of Buyer’s counterclaims to a third party without Seller’s prior written consent shall be void. Buyer agrees to reimburse Seller for any costs and expenses (including reasonable attorney’s fees) in connection with the collection of any amounts owed to Seller under this Contract.
Insolvency of customer:
Archnit International will be entitled to cancel the contract without any liability to the customer should the customer make any voluntary arrangements with its creditors or becomes bankrupt, goes into provisional or full liquidation or any administration orders have been made against them. In the event that items are delivered without payment being received, the price shall become immediately due and payable, regardless of any previous arrangements to the contrary and until payment in full is made the title to all goods supplied remain with the seller.
Taxes and Other Charges:
Any manufacturer’s tax, occupation tax, use tax, sales tax, excise tax, duty, custom, inspection or testing fee or charge of any nature whatsoever imposed by any governmental authority, domestic or foreign, on or measured by the transaction between Seller and Buyer shall be paid by Buyer in addition to the price quoted or invoiced. In the event Seller is required to pay any such tax, fee or charge, Buyer shall reimburse Seller therefore unless otherwise agreed upon in writing. The recipient of goods/benefits is responsible for tax in the country/state/county/city of destination.
Guarantees and Complaints:
The quality of the ceramic material and natural / composite stones is defined on the basis of the prevailing international regulations applicable to the corresponding product class.
Archnit International guarantees only goods supplied as prime quality. Complaints relating to goods other than of prime quality (“B” quality, commercial, second, third, secondary, stock, etc.) shall not be taken into consideration, nor will any kind of guarantee be given, either implicitly or explicitly, on these materials.
The Purchaser is obliged to check the goods in terms of quality and quantity within a short time after receipt and, in the case of a complaint, to give notification of this in writing no later than 8 (eight) days from receipt of the goods; failure to do so will incur the forfeiture of all rights.
Material deemed to be defective must be held at Archnit International’s disposal for the checks that it will consider suitable to carry out; any further action (return, repair or other) must be authorized in advance by us in writing.
Complaints and requests for intervention under guarantee after the material has been laid shall not be taken into account if the defect reported is evident (e.g. chips, defects of size, differences in colour shade, etc.). It is made clear that the prime quality may contain defective tiles up to a limit of 5% and that the colour shades of the material supplied may differ from the sample displayed, since ceramic is intrinsically variable in appearance.
Complaints attributed to latent faults or defects must be formalized in writing within 8 (eight) days from their discovery and, in any case, within one year from delivery; failure to do so will incur the forfeiture of all rights under the guarantee and to compensation. As well as the invoice details, the notification must contain a precise description of the defect and an estimate of costs for repair or modification of the product; failure to notify this data will cause the complaint to be deemed invalid.
If the complaint should prove to be unfounded the Purchaser must reimburse Archnit International for all the expenses incurred for assessment (travelling expenses, surveys, etc.).
Archnit International’s obligation is, in any case, limited to replacing the defective pieces only or to repairing them, with the express exclusion of other, further indemnities such as, by way of a non-limiting example, for costs of removing and re-installing furniture, equipment, machinery, etc., or loss of earnings for interruption or suspension of business, inconvenience, consequential damages, etc. The presence of defective tiles does not invalidate the quality of the entire supply, nor does it incur the obligation for its entire replacement.
The time limits for the duration of the guarantee are as established by the Indian Civil Code.
Retention of Title:
Sale of the goods is carried out with the retention of title clause; therefore if payment, by contractual agreements, must be carried out wholly or in part after delivery, the products delivered remain the property of Archnit International until the entire price and Invoice amount has been paid.
Transfer of Contract:
The Purchaser may not transfer his position in the contract or in individual binding agreements deriving from this without Archnit International’s written acceptance: also in this case the Purchaser anyway remains jointly liable with the transferee for the obligations transferred.
Industrial Property and Selective Distribution – Limits on resale:
Archnit International is the owner and legal holder of the exclusive rights to brand names, designs and patents. In order to guarantee full respect for Archnit International’s exclusive rights, as well as the end consumers’ expectations with regard to expected quality characteristics, Archnit International manages the supplies of its products by means of a selective distribution system. Supplies received from Archnit International and from its authorized selective sales outlets are designed for installation at the end user’s premises and no other form of resale to further sales agents other than the end users is permitted, unless with Archnit International’s prior written authorization. Goods that are re-sold in breach of this provision must therefore be considered as not permitted and treated as an unlawful use of Archnit International’s industrial and intellectual property rights, with Archnit International’s right to ask for them to be seized at the premises of any holder. Archnit International reserves the right to take legal proceedings against anyone who is involved in unauthorized re-selling.
Supply Chain Security:
Archnit International, in order to grant the security of the international supply chain, kindly asks its CUSTOMERS to comply with the security requirements laid down by AEO – Authorised Economic Operator – CUSTOMS – to safeguard the goods in the Indian Community during the activities of the forward and reverse flows.
Archnit International CUSTOMERS undertake to meet the security and safety conditions during the operations of receiving, delivery, distribution, transport and storage, ensuring that the goods are taken into delivery, stocked, transported, prepared and loaded in safe places and in safe loading and shipping areas, well protected against intrusion and manipulation, with the only employ of reliable, authorized and duly trained own personnel
If the Products are not shipped within fifteen (15) days after notification to Buyer that they are ready for shipping, for any reason beyond Seller’s reasonable control, including Buyer’s failure to give shipping instruction, Seller may store such Products at Buyer’s sole risk in a warehouse or other storage facility or upon Seller’s premises and Buyer shall pay all handling, transportation and storage costs at the prevailing commercial rates upon submission of invoices therefore by Seller.
Suspension and Cancellation:
If Buyer shall omit delivery instructions or shall fail to accept Delivery or allow work to be done or shall fail to make any payment when it becomes due or shall commit any other breach of contract, and if Buyer shall fail to remedy the same within seven (7) days of receiving Seller’s request in writing to do so, or if Buyer shall enter into any composition or arrangement with its creditors or if any distress or execution is levied upon any goods or property of Buyer, or if Buyer shall commit any act of bankruptcy or, if a corporation, a receiver shall be appointed of the whole or any part of its undertaking or assets or if Buyer shall pass a resolution for winding up or if a court shall make an order to that effect or if Buyer shall have a receiving order made against it, then at Seller’s sole option Seller may defer or cancel any further deliveries or services and treat the Contract or any other contract between Seller and Buyer as terminated, but such termination shall be without prejudice to Seller’s right to any unpaid price for goods or materials delivered or cost of work done under the Contract and to damages for loss suffered in consequence of such termination. 2. Following Seller’s acceptance of the order, the same may not be cancelled by Buyer without Seller’s written consent. Upon such consent, the following payments shall become due to Seller: (a) The Contract price for all Products completed or services performed at the time of receipt of Buyer’s request for cancellation, (b) For work in progress, order entry expense, engineering process expense and any materials and supplies procured by Seller or for which Seller is committed in connection with Buyer’s order a sum equal to the actual cost thereof, together with overhead expenses determined by Seller in accordance with generally accepted accounting principles plus fifteen percent (15%). (c) If Buyer has received any price discounts due to the quantity of goods ordered, but has not purchased the applicable quantity at the time of cancellation, Buyer must also pay Seller the difference between the price Buyer paid and the price it would have paid had Seller’s price been based on the quantity actually purchased. 3. Seller shall suspend the performance of the Contract upon receipt of Buyer’s written request to do so but only for a period not exceeding twenty-eight (28) days and Buyer shall reimburse Seller for all storage charges and other additional costs Seller incurs thereby. In the event of the suspension as aforesaid continuing for a period in excess of 28 days, then Seller may terminate the Contract and the rights and liabilities of the parties thereto shall be the same as if the Contract had been cancelled in accordance with the provisions of Article IV, Section 2 of these T&Cs
